Terms of Service (Draft)

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the VeliKey Aegis platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

TODO(counsel): confirm effective date, contracting entity, and any jurisdiction-specific requirements.

2. Definitions

  • "Customer" means the entity purchasing or using the Service.
  • "Axis" means the VeliKey control plane and web console.
  • "Agent" means the Aegis Agent software deployed in Customer infrastructure.
  • "Customer Data" means data Customer provides to the Service, excluding telemetry generated by the Service.

3. Accounts and Access

  • Customer is responsible for the accuracy of account information.
  • Customer is responsible for controlling access to accounts, API keys, and agent bootstrap tokens.
  • Customer must promptly notify VeliKey of suspected credential compromise.

4. Use of the Service

Customer may use the Service only in accordance with these Terms and applicable law.

Acceptable use

Customer must not:

  • attempt to bypass authorization controls
  • interfere with the Service or other tenants
  • use the Service for unlawful activity
  • introduce malware or abuse the Service (scanning, DoS, etc.)

5. Security and Compliance

  • VeliKey implements security controls intended to protect the Service and tenant isolation.
  • Customer is responsible for secure configuration in Customer environments (for example, network access controls and secret management).

6. Fees, Billing, and Taxes

Fees and billing terms are defined in an order form or other written agreement.

TODO(counsel): define payment terms, late fees, refunds, trials, and tax handling.

7. Intellectual Property

Except as expressly stated, VeliKey retains all rights, title, and interest in the Service. Customer retains rights in Customer Data.

8. Confidentiality

Each party will protect the other's confidential information using reasonable measures and use it only as necessary to perform under these Terms.

9. Privacy

Privacy practices are described in the Privacy Policy.

TODO(counsel): add DPA references (GDPR/CCPA) if applicable.

10. Warranties and Disclaimers

TODO(counsel): add standard warranty and disclaimer language appropriate for the Service.

11. Limitation of Liability

TODO(counsel): add limitation of liability language and caps consistent with commercial terms.

12. Indemnification

TODO(counsel): add indemnification terms, including IP indemnity if offered.

13. Term and Termination

TODO(counsel): define term, renewal, termination for cause/convenience, and post-termination obligations.

14. Governing Law and Dispute Resolution

TODO(counsel): define governing law, venue/arbitration, and class-action waiver (if applicable).

15. Changes to These Terms

VeliKey may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means.
